This agreement is indefinite and ends automatically with the termination of the samera contract. The option for extraordinary termination for a significant reason remains unaffected.

(1). Processing Scope**: The contractor agrees to process data and results solely within the scope of the written instructions of the client. Copies or duplicates of data will not be created without the client’s knowledge, except for backups required for proper data processing or data retained for legal obligations.

Government Requests: If the contractor receives a governmental request to release client data, they must notify the client immediately, where legally permitted, and direct the government authority to the client. Data processing for the contractor’s own purposes requires written authorization from the client.
(3.) Confidentiality: The contractor guarantees that all personnel involved in data processing are obligated to confidentiality and remain bound by confidentiality even after leaving the contractor’s employment.
(4.) Technical and Organizational Measures (TOMs): The contractor ensures the implementation of all necessary TOMs in accordance with Art. 32ff GDPR to guarantee data security. Measures include safeguarding confidentiality, integrity, availability, and resilience of systems. Details can be found in the appendix.
(5.) Assistance with Data Subject Rights: The contractor implements measures to help the client fulfill rights under Chapter III of GDPR (e.g., information, access, rectification, deletion, portability, objection, automated decision-making). The contractor may not correct, delete, or limit processing without documented instructions from the client. If requests are mistakenly directed to the contractor, they will immediately redirect them to the client and inform the applicant.
(6.) Execution of Rights: Where included in the service scope, the contractor directly executes data deletion, portability, and corrections based on documented instructions from the client.
(7.) Support for GDPR Compliance: The contractor assists the client in complying with GDPR obligations under Articles 32 to 36, including data security measures, reporting data breaches, notifying affected persons, and conducting data protection impact assessments.
(8.) Processing Record: The contractor maintains a record of processing activities as per Art. 30 GDPR.
(9.) Data Destruction: Upon termination of this agreement, the contractor is obligated to destroy all data, documents, and results related to the contract unless statutory retention periods apply. Documentation required to demonstrate compliant processing must be retained beyond the contract period.
(10.) Noncompliant Instructions: If the contractor believes an instruction violates GDPR or national regulations, they must notify the client immediately.

Conditions for Sub-Processing
